Terms & Conditions
Terms & Conditions are subject to change in Public Holdings, Inc.’s (“Public”) sole discretion and without notice. Public reserves the right to modify offers, revoke any offer and cancel the program at any time, each in its sole discretion.
You must have an approved brokerage account with Open to the Public Investing, Inc. (“Public Investing”) and have successfully deposited funds into your account to participate in a Learn & Earn module and claim a reward.
This program is only available to U.S. residents residing within the United States. Employees or contractors or people affiliated with Public or members of their household are not eligible for this offer. Employees of any securities or regulatory organization or exchange are not eligible for this offer. Employees or contractors or people affiliated with the applicable Learn & Earn sponsor or members of their household may not be eligible for this offer. Other restrictions may apply as determined from time to time by Public in its sole discretion and without notice.
How to Earn a Reward
A “reward” is a fractional share of a designated stock, ETF or cryptoasset2. If a reward is available for a Learn & Earn module, the module will clearly define the associated reward in terms of (i) a specific type of stock, ETF or cryptocurrency and (ii) notional value in USD. Not all Learn & Earn modules have rewards available and not all Learn & Earn modules offer each of stock, ETF or crypto rewards.
To earn a reward, you must complete the entire module and select the ‘Claim Reward’ button after completion.
Once you begin a module, you will have one hour to complete it. If you exit the module before completing it, your progress will not be saved. You will be able to take the module as many times as you would like until you complete it and claim your reward.
You will only be able to claim a cryptoasset reward (to the extent offered) if you have successfully opened an account with Apex Crypto LLC (“Apex Crypto”).2
2 Cryptocurrency execution and custody services are provided by Apex Crypto LLC (NMLS ID 1828849) through a software licensing agreement between Apex Crypto LLC and Public Crypto LLC. Apex Crypto LLC is not a registered broker-dealer or a member of SIPC or FINRA. Cryptocurrencies are not securities and are not FDIC or SIPC insured. Apex Crypto LLC is licensed to engage in virtual currency business activity by the New York State Department of Financial Services. For more information, see Legal Disclosures, Apex Crypto.
Rewards are While Supplies Last; Cap on Total Rewards Claimed
You may only earn up to one reward per module. The maximum aggregate value of the rewards in securities or cryptocurrencies you may earn across all promotions and offers is $500 (USD). Once you have received $500 (USD) worth of promotional rewards, you may no longer be eligible to participate in any reward programs on Public.
Each module will have a cap on the total number of rewards available to claim. Rewards are limited while supplies last. A module will note whether all rewards have been claimed; if so, you can still complete the module, but you won’t be able to receive a reward.
Receiving your Reward; Restrictions on Withdrawal
Public Investing will use best efforts to credit your brokerage account with a reward within 5 business days of completing the module (if the reward is a security). Apex Crypto LLC will use best efforts to credit your cryptocurrency account with a reward within 5 business days of completing the module (if the reward is a cryptoasset).
Once you have claimed your reward, the cash value of the reward may not be withdrawn for 90 days. During that window, you may convert that reward into cash and use that cash to buy other assets, but you will not be able to withdraw that cash from your account until the 90-day window expires.
If a customer requests the cancellation of their brokerage account with Public Investing but is restricted from doing so due to an unsettled offer, then the customer may forfeit the reward in writing. Public Investing will then revoke the face value of the offer and/or revoke the offer credit itself. If an account is closed due to violations of Public’s community guidelines or Terms of Service, Public Investing will revoke the face value of the offer and/or the offer itself from the customer’s account in order to close it. In cases of a forced closure, a formal request in writing from the customer is not required, and Public Investing reserves the right to revoke an offer at any time.
Similarly, if a customer requests the cancellation of their cryptocurrency account with Apex Crypto but is restricted from doing so due to an unsettled offer, then the customer may forfeit the reward in writing. The crypto offer will then be revoked, the reward liquidated at the prevailing market rate, and the resulting value removed from the customer’s account; the cash value will then be transferred to a customer’s brokerage account with Public Investing. If an account is closed due to violations of Public’s community guidelines or Terms of Service, the crypto offer will be revoked from the customer’s account in order to close it. In cases of a forced closure, a formal request in writing from the customer is not required, and an offer may be revoked at any time.
Other Restrictions and Terms
Any account that incurs an ACH reversal fee or debit card chargeback fee may be disqualified from the reward and any other promotional offers.
You may not publicly advertise the purchase or sale of any rewards. Any accounts found to be in violation of this condition will be terminated in Public’s sole discretion. This program is only available for personal use and may not be used for commercial purposes. This offer is not transferable or saleable.
The cash value of a reward may be required to be reported as “Other Income” on a Form 1099-Misc. Any gains or losses on the sale of the reward are reported as capital gains or losses. Public is not responsible for any taxes related to this offer. Customers should consult with their tax advisor if they have any specific questions relating to tax treatment and tax implications associated with this offer.
Rewards may have associated fees, such as management fees on shares of ETFs. Other fees may apply. See Fee Schedule for more information.
Not an Investment Recommendation or Solicitation
Learn & Earn modules may be sponsored by unaffiliated third-parties; the designated sponsor may pay Public a fee in connection with services related to Learn & Earn.
The modules may contain hypothetical examples with fictional characters that do not necessarily represent the experiences of actual individuals, nor do they indicate future performance or success. Learn & Earn modules are provided for educational, informational and illustrative purposes only; they are not an offer of investment advice or specific financial products, nor do they constitute a recommendation or suitability of any investment strategy or product for a particular individual.
The receipt of a particular reward through this program or the identification of a particular security in communications related to this program does not constitute an offer, solicitation of an offer, or advice to buy or sell securities or open a brokerage account in any jurisdiction where Public Investing is not registered. By accepting these Terms and Conditions, you agree and acknowledge that a reward is not an investment recommendation.
Investors should always conduct their own due diligence before making an investment decision. All investing involves risk, including possible loss of principal.
Rewards are offered as fractional shares. Fractional shares have limitations, like limited or no voting rights, and are not transferable. See here to learn more about fractional share investing.

Before investing in an ETF, investors should consider the investment objectives, risks, and charges and expenses of the ETF before investing. Although ETFs are designed to provide investment results that generally correspond to the performance of their respective underlying indices, they may not be able to exactly replicate the performance of the indices because of expenses and other factors. A prospectus contains this and other information about the ETF and should be read carefully before investing. Customers should review prospectuses from issuers and/or their third party agents who distribute and make prospectuses available for review.
ETFs are required to distribute portfolio gains to shareholders at year-end. These gains may be generated by portfolio rebalancing or the need to meet diversification requirements. ETF trading will also generate tax consequences. Additional regulatory guidance on Exchange Traded Products can be found by clicking here.
All investing involves risk, including possible loss of principal. Diversification and asset allocation may not protect against market risk or loss of principal.
Funds that concentrate investments in specific industries, sectors, markets or asset classes may underperform or be more volatile than other industries, sectors, markets or asset classes and the general securities market.
A fund’s environmental, social and governance (“ESG”) investment strategy limits the types and number of investment opportunities available to the fund and, as a result, the fund may underperform other funds that do not have an ESG focus. A fund’s ESG investment strategy may result in the fund investing in securities or industry sectors that underperform the market as a whole or underperform other funds screened for ESG standards. In addition, companies selected by the index provider may not exhibit positive or favorable ESG characteristics.
