Willdan Group is facing meaningful integration risk from the Mantis acquisition, especially because data centers account for more than 30% of Mantis’s revenue and could become a mid-teens share of pro forma WLDN, increasing exposure to a concentrated end market. The deal also appears dilutive, since Mantis carries a lower Adj. EBITDA margin than Willdan’s ~25% FY26 Adj. EBITDA guidance, implying about 50 bps of pro forma margin dilution and potentially offsetting roughly one year of management’s targeted 50 to 100 bps annual expansion. While the acquisition may strengthen Willdan’s footprint in building controls and demand response, the combination of integration execution risk, margin pressure, and sector concentration supports a negative outlook.
